Software License Agreement

This Software License Agreement (“Agreement”) is a legal agreement between you (“Licensee,” “you,” or “your”) and WP Plugin Magic (“Company,” “we,” “us,” or “our”), for the use of WordPress plugin software products (“Software”) purchased through wppluginmagic.com.

By purchasing, downloading, installing, or using any Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not purchase, download, install, or use the Software.


1. Software License

1.1 Open Source Code (GPL v2+)

The PHP source code of all WP Plugin Magic plugins is licensed under the GNU General Public License, version 2 or later (“GPL”). Under the GPL, you may use, copy, modify, and redistribute the PHP source code, subject to the terms of the GPL. A copy of the GPL is available at https://www.gnu.org/licenses/gpl-2.0.html.

1.2 License Key (Proprietary)

Your purchase entitles you to a license key (“License Key”) that grants access to software updates, new features, and technical support (“Licensed Services”). License Keys are proprietary to WP Plugin Magic and are not covered by the GPL.

You may NOT:

  • Share, redistribute, sell, sublicense, or publicly post your License Key
  • Use a single License Key on more sites than your purchased tier allows
  • Use automated tools to bypass or circumvent License Key validation

Violation of these terms may result in revocation of your License Key without refund.

2. License Tiers

2.1 Site Limits

Each License Key is sold for a specific number of WordPress installations (“sites”):

  • Single Site — 1 production site
  • 5 Sites — up to 5 production sites
  • Unlimited — unlimited production sites (subject to reasonable use; see Section 2.3)

2.2 Staging and Development Sites

Local development environments, staging sites, and testing sites do NOT count toward your site limit. You may freely use the Software on non-production sites without consuming a license activation.

2.3 Reasonable Use (Unlimited Tier)

“Unlimited” licenses are intended for a single Licensee’s own sites or sites managed on behalf of clients. If usage significantly exceeds typical patterns (e.g., over 100 domain activations), we may contact you to discuss appropriate licensing. We will not revoke an Unlimited license without first attempting to resolve the matter.

2.4 License Transfers

You may deactivate your License Key from one site and reactivate it on a different site, provided you remain within your tier’s site limit.


3. License Duration

3.1 Annual Licenses

Annual licenses are valid for one (1) year from the date of purchase. During the license term, you receive all software updates and technical support.

Auto-Renewal: Annual licenses may auto-renew at the then-current price unless you cancel before the renewal date. You will receive email notice at least seven (7) days before any renewal charge.

Cancellation: You may cancel auto-renewal at any time through your account at wppluginmagic.com or by contacting us through our contact page. Cancellation takes effect at the end of the current billing period.

3.2 Lifetime Licenses

Lifetime licenses are a one-time purchase that includes software updates and technical support for the life of the product.

“Life of the product” means for as long as WP Plugin Magic actively develops and maintains the Software. It does not mean perpetual or unlimited in duration. If a product is discontinued, see Section 3.4.

3.3 What Happens When a License Expires or Is Cancelled

If your annual license expires or you cancel your subscription:

  • The Software continues to work. Your installed version will remain functional on your site(s).
  • Updates stop. You will no longer receive software updates, security patches, or new features.
  • Support stops. You will no longer have access to technical support.
  • You may renew at any time to restore update and support access.

3.4 End of Life / Discontinued Products

If WP Plugin Magic discontinues a product:

  • We will release a final stable version of the Software.
  • Technical support will continue for one (1) year from the date of the discontinuation announcement.
  • After that period, the Software remains yours to use under the GPL, but no further updates or support will be provided.
  • No refunds are issued for discontinued products that were functional during the license term, unless the product is discontinued within 30 days of your purchase.

4. Free Software and Code Resources

4.1 Free Plugin Versions

Some WP Plugin Magic plugins may be offered in a free version (e.g., on WordPress.org) with limited features. Free versions:

  • Are licensed under the GPL v2+ (same as paid versions)
  • Do NOT include a License Key
  • Do NOT include access to premium features, updates beyond WordPress.org, or technical support
  • May be upgraded to a paid license at any time by purchasing a License Key

4.2 Code Snippets and Free Resources

WP Plugin Magic may share code snippets, tutorials, example code, and other free resources through wppluginmagic.com, our community, blog posts, or other channels. Unless otherwise stated, all free code resources:

  • Are licensed under the GPL v2+ and may be freely used, modified, and redistributed
  • Are provided “AS IS” without any warranty (see Section 9)
  • Do NOT include technical support or maintenance
  • Are NOT guaranteed to be compatible with any particular WordPress version, theme, plugin, or hosting environment
  • Are used at your own risk

We make reasonable efforts to ensure our free code resources are functional and accurate, but we are not responsible for issues arising from their use, including conflicts with other software or data loss.


5. Refund Policy

We offer a 14-day, no-questions-asked refund policy on all plugin purchases.

  • To request a refund, contact us through our contact page within 14 days of your purchase date.
  • Refunds are processed through Stripe to your original payment method.
  • Upon refund, your License Key will be deactivated.
  • Refunds are for the full purchase amount. Partial refunds are not offered.

5.1 EU Digital Content Withdrawal

For customers in the European Union: During checkout, you will be asked to expressly consent to the immediate delivery of digital content and to acknowledge that you lose your 14-day right of withdrawal under the EU Consumer Rights Directive once the download begins. Notwithstanding this waiver, we honor our 14-day refund policy for all customers regardless of location.


6. Support Policy

6.1 Scope

Technical support covers issues directly related to WP Plugin Magic plugins only. We do not provide support for:

  • Third-party plugins, themes, or hosting environments
  • General WordPress configuration or troubleshooting
  • Custom code modifications you have made to the Software
  • FluentCRM, FluentCart, FluentCommunity, or other Fluent ecosystem products (please contact WPManageNinja for those)

6.2 Channels

Support is available through:

  • Fluent Community — our primary support channel at community.wppluginmagic.com (or equivalent)
  • Onlinewppluginmagic.com/contact

6.3 Response Time

We aim to respond to support requests within 24-48 business hours (Monday through Friday, excluding US federal holidays). Response times may vary during peak periods.

6.4 Supported Versions

We provide support for all versions of our Software, provided you have an active license. However, we strongly recommend keeping the Software updated to the latest version, as older versions may contain known issues that have been resolved in newer releases.


7. Intellectual Property

7.1 Ownership

WP Plugin Magic retains all rights, title, and interest in and to the Software, including all intellectual property rights, subject to the GPL license granted for the PHP source code.

The WP Plugin Magic name, logo, and brand assets are trademarks of WP Plugin Magic and may not be used without written permission.

7.2 Your Content

The Software does not claim any ownership over content you create, store, or manage using the plugins. Your data remains yours.


8. Data Collection and Privacy

WP Plugin Magic plugins may collect limited technical data as described in our Plugin Privacy Policy (available at wppluginmagic.com/plugin-privacy-policy). In summary:

  • License validation: Plugins periodically contact wppluginmagic.com to verify your License Key. Data transmitted includes your site URL, License Key, WordPress version, PHP version, and plugin version.
  • No telemetry: We do not collect usage analytics, track user behavior, or monitor how you use the Software.
  • Third-party APIs: Some plugins (e.g., AI Content Curator) connect to third-party AI services using API keys you provide. Data sent to those services is governed by the respective third-party’s privacy policy, not ours.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or compatible with all WordPress configurations, themes, plugins, or hosting environments.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WP PLUGIN MAGIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE KEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


11. Dispute Resolution

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.

11.2 Arbitration

Before initiating any formal dispute resolution, the complaining party must provide written notice to the other party at the contact information in Section 13, describing the nature of the claim and the relief sought. The parties shall attempt to resolve the dispute informally for thirty (30) days. If the dispute is not resolved informally, it shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Missouri. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11.4 Exception

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.


12. General Provisions

12.1 Entire Agreement

This Agreement constitutes the entire agreement between you and WP Plugin Magic regarding the Software and supersedes all prior agreements, understandings, and communications.

12.2 Modifications

We may update this Agreement from time to time. Material changes will be communicated via email or notice on wppluginmagic.com. Your continued use of the Software after changes take effect constitutes acceptance of the updated terms.

12.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.4 No Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer this Agreement without our written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
